Terms of Service

These Terms of Service ("Terms", "Agreement") are an agreement between RingBot Pty Ltd ("RingBot", "we", "us", "our") and you (the "Customer", "you", "your") and govern your use of the ringbot.ai website ("Site") and RingBot AI voice services ("Services").

By accessing or using the Site or Services, you acknowledge your acceptance of this Agreement and consent to be bound by its terms and conditions. If you do not agree to these Terms, do not use the Site or Services.

1. Our Services

RingBot is a cloud-based platform that enables you to build and deploy AI-powered voice agents. Our Services include:

  • AI voice agent creation and management
  • Phone number provisioning
  • Call handling and routing
  • Integration APIs and webhooks
  • Dashboard for customization and analytics

2. Account Registration

To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

You must be at least 18 years old to use the Services. If you are accessing the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. Payment Terms

3.1 Pricing

Current pricing information is available at ringbot.ai/pricing. All fees are in Australian Dollars (AUD) unless otherwise stated.

3.2 Billing

Services are billed monthly in advance. You authorize us to charge your payment method for all fees. You must maintain valid payment information and ensure sufficient funds are available. All fees are non-refundable except as required by Australian Consumer Law.

Important: Failure to maintain valid payment information or insufficient funds may result in immediate service suspension or termination, particularly for Standard and VIP plan users.

3.3 Subscription Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period.

3.4 Payment Method Maintenance

You must maintain valid and current payment information at all times. You agree to:

  • Update payment information immediately if your card expires or is replaced
  • Ensure sufficient funds are available for automatic billing
  • Notify us promptly of any billing disputes or payment issues
  • Monitor your account for payment notifications

3.5 Late Payment and Service Suspension

Standard and VIP Users: You must ensure timely payment to maintain uninterrupted service. If payment fails, your Services may be suspended or terminated immediately without prior notice. It is your responsibility to maintain valid payment information and sufficient funds.

Enterprise Users: We may apply a grace period for Enterprise accounts at our sole discretion. However, we reserve the right to suspend or terminate Services if payment is not received within a reasonable timeframe.

For amounts not paid when due, we may charge a late payment fee equal to the lesser of 10% of the past due amounts or the maximum allowed by law. If we refer your account to a third party for collection, you will be liable for all associated costs, including legal fees.

4. Acceptable Use Policy

4.1 Prohibited Uses

You must not use the Services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, threatening, or harassing content
  • Engage in fraudulent or deceptive practices
  • Interfere with or disrupt the Services
  • Attempt unauthorized access to our systems

4.2 Telemarketing Compliance

You must comply with all applicable Australian laws including:

  • Do Not Call Register Act 2006
  • Spam Act 2003
  • Privacy Act 1988
  • Australian Consumer Law
  • Telecommunications Act 1997

You must obtain appropriate consent before making calls and maintain records of consent for at least 5 years. You must check numbers against the Do Not Call Register at least every 31 days.

4.3 AI Voice Disclosure

You must disclose the use of AI voice technology at the beginning of calls where required by law. You must not use voices of real people without their consent.

5. Intellectual Property

5.1 Our IP

RingBot retains all rights, title, and interest in the Services, including all software, algorithms, models, and documentation. You may not reverse engineer, decompile, or attempt to derive source code.

5.2 Your Content

You retain ownership of content you provide to the Services. By using the Services, you grant us a license to use your content solely to provide the Services to you.

5.3 AI-Generated Content

You are granted a license to use AI-generated content for your business purposes. We retain ownership of the underlying AI models and algorithms.

6. Privacy and Data Protection

We collect and process personal information in accordance with our Privacy Policy and the Australian Privacy Principles under the Privacy Act 1988. Please review our Privacy Policy for details on how we handle your data.

7. Warranties and Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by Australian Consumer Law, we disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to the Services will not exceed the amount you paid us in the 12 months before the claim arose, or AUD $100, whichever is greater.

We will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or goodwill.

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under Australian law.

9. Indemnification

You agree to indemnify and hold harmless RingBot from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your violation of third-party rights

10. Term and Termination

These Terms remain in effect until terminated by either party. We may suspend or terminate your access immediately if you breach these Terms. You may terminate by canceling your subscription.

Upon termination, you must cease using the Services. Provisions that by their nature should survive termination will survive, including intellectual property rights, indemnification, and limitation of liability.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

11.2 Dispute Resolution Process

Before commencing legal proceedings, you agree to first attempt to resolve any dispute by contacting us at [email protected]. We will work in good faith to resolve the matter within 60 days.

12. Changes to Terms

We may modify these Terms at any time by posting updated Terms on our Site. Changes are effective immediately upon posting. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and RingBot regarding the Services.

13.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

13.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

13.4 Force Majeure

Neither party will be liable for delays or failures due to causes beyond reasonable control, including natural disasters, acts of government, or network failures.

Australian Consumer Law Notice

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to cancel your service contract and obtain a refund for the unused portion, or to compensation for the reduced value of the services. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion of the contract.
